Our approach to sustainability governance

Our approach to sustainability governance

Clorox’s sustainability governance starts at the top, with oversight from our board of directors and senior leaders and extends down to the grass-roots level, where sustainability is embedded into our operations and employees’ day-to-day activities. Since revamping our sustainability governance model in 2023, we continue to make enhancements to further integrate our businesses and key enabling functions into the governance process.

Sustainability progress is overseen by the Sustainability Executive Committee, which is led by our chief legal and external affairs officer. The committee includes our executive vice president and chief administrative officer; executive vice president and chief operating officer; executive vice president, chief growth and strategy officer; senior vice president and chief supply chain officer; and senior vice president and chief research and development officer. As we have continued to advance integration of sustainability into our core functions and business units, we have also created a cross-functional Sustainability Integration Committee, which is led by our vice president – chief sustainability officer. Execution of our sustainability priorities is shared across our business units, helping embed accountability for our IGNITE sustainability goals throughout the business.

This sustainability governance structure is designed to further integrate those goals into our business units and strengthen how the company allocates resources, assigns decision-making authority and accountability, sets sustainability targets and measures performance. It also helps identify and mitigate sustainability-related risks.

As part of our sustainability governance approach, we have in place Codes of Conduct for teammates and all those who do business with us, outlining our expectations in the areas of human rights and labor, health and safety, the environment and business conduct and ethics.

How our sustainability organization works

Board of Directors

Clorox’s board of directors — through the Nominating, Governance and Corporate Responsibility Committee — oversees sustainability matters and compliance and is updated at least quarterly. The full board also receives regular sustainability updates and engages on key topics.

Sustainability Executive Committee

The Sustainability Executive Committee, chaired by our executive vice president – chief legal and external affairs officer, reports to the CEO and is designed to provide management direction for and oversight of our sustainability priorities and continued execution against our commitments, and decides on any proposed changes to our sustainability goals and commitments.

Sustainability Integration Committee

The Sustainability Integration Committee drives enterprise-wide sustainability priorities, ensures integration of our goals into the business units, connects and amplifies the sustainability work being led by multiple teams throughout the company, and ensures broad organizational awareness across sustainability priorities.

This committee is led by our vice president – chief sustainability officer and includes senior leaders from R&D, procurement and our business units as well as representatives from other functions.

Corporate Sustainability Team

The Sustainability Team, overseen by our vice president – chief sustainability officer, is comprised of sustainability subject matter experts and drives sustainability initiatives, including reporting and execution against our IGNITE sustainability goals.

The team works across functions to integrate sustainability considerations into business planning, operations and decision-making processes. It also supports the identification of sustainability-related risks and opportunities, helps shape sustainability strategy, supports governance processes, and provides expertise to teams throughout the company.

Inclusion, Diversity, Equity and Allyship

The IDEA strategy development and execution is led by our vice president – chief diversity and social impact officer — a member of the Clorox Executive Committee. Relevant IDEA communications are shared with the board, reflecting our view that IDEA is essential to our long-term business success.

Employee resource groups

The company has multiple teams of passionate employees leading the way to integrate environmental and social responsibility into Clorox work and culture. From volunteers at our plants who initiate and execute environmental workplace initiatives to our 13 employee resource groups that are integral to creating an inclusive workplace to our GIFT Ambassadors who champion donating time and money to worthwhile causes, our employee-led groups are open to all and have played an especially important role in elevating our purpose and values within Clorox and helping us better deliver for consumers and one another.
